Terms and Conditions of Use

Welcome to ArtHeart, a platform operated by Art Heart Entertainment LLC (“ArtHeart,” “we,” “our,” or “us”), designed to connect artists and fans through meaningful collectible and digital experiences. By accessing or using the ArtHeart app, website, or any affiliated product, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, do not access or use our services.

1. Definitions

• “ArtHeart” means Art Heart Entertainment LLC, its affiliates, employees, successors, and assigns.
• “User” means any individual or organization using the ArtHeart app or website.
• “Artist” means any User who creates, uploads, or distributes artistic content through ArtHeart.
• “a.cube” means a physical collectible that provides digital streaming access to exclusive content via NFC or similar technology.
• “Content” means all artworks, media, data, text, images, audio, video, and information made available within the ArtHeart ecosystem.

2. Eligibility and Account Use

You must be at least 13 years old (or the minimum legal age in your jurisdiction) or have verified parental consent to use ArtHeart.

You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.

You agree not to:

• Misuse, hack, or disrupt the platform;
• Attempt to access data not intended for you;
• Copy, scrape, or reverse-engineer any part of the service.

3. Artist Rights and Responsibilities

Artists retain full copyright and ownership of their creative works unless explicitly transferred in writing.By uploading or publishing content, Artists grant ArtHeart a limited, non-exclusive, royalty-free, worldwide license to:

• Host, stream, and display their content within the platform;
• Use excerpts or visuals for promotional and marketing purposes connected to ArtHeart.

Artists are solely responsible for ensuring that their content does not infringe on any third-party intellectual property or other legal rights.ArtHeart reserves the right to remove or restrict access to any content reported as infringing or illegal.

4. Collectibles and the a.cube Experience

Each a.cube may provide access to exclusive digital content tied to a specific Artist or edition.

Users are responsible for the safekeeping of their physical collectibles.

ArtHeart may, at its discretion, replace defective a.cubes within a reasonable warranty period but assumes no responsibility for loss, theft, or damage caused by user negligence.

The a.cube does not constitute a storage device; all content is hosted on ArtHeart servers.

5. Purchases, Subscriptions, and Payments

All purchases, including collectibles and subscriptions, are final unless otherwise specified by ArtHeart.

Subscription plans automatically renew unless canceled prior to renewal.

Prices and payment terms are subject to change, with reasonable prior notice for existing subscribers.

Payments are processed via third-party providers, and Users agree to their respective terms.

ArtHeart is not responsible for payment errors or disputes arising from third-party systems.

6. Intellectual Property

All trademarks, designs, software, and proprietary technology used by ArtHeart are owned by Art Heart Entertainment LLC and protected by international copyright laws.

You may not copy, distribute, reverse-engineer, or create derivative works from the ArtHeart platform or content without prior written consent.

User-submitted content remains the sole property of the Artist but is licensed to ArtHeart as described in Section 3 “a.services”.‍

7. Streaming-Only Service

ArtHeart operates exclusively as a streaming-only platform.

Access to music, video, or other media on ArtHeart grants Users a personal, non-commercial license to stream content within the platform.

It does not grant any ownership, reproduction, download, or resale rights.

All copyrights remain with the original Artist or rights holder.

8. a.cube as a Streaming Key

The a.cube serves solely as a streaming access key to its corresponding digital edition hosted on ArtHeart.

Owning an a.cube does not transfer copyright, reproduction, or commercial rights.

It functions purely as a collectible and gateway to the Artist’s digital experience.‍

9. No Resale or Redistribution Rights

Users may not resell, duplicate, redistribute, or make available any ArtHeart-linked content, whether accessed via the app or through an a.cube.

Unauthorized use or duplication may result in immediate account suspension and potential legal action.

10. Clarification of Physical vs. Digital Goods

Physical items (such as a.cubes) are collectible access tools, not physical carriers of copyrighted works.

All media linked through ArtHeart is digital streaming content.

Purchasing an a.cube or digital license does not imply ownership of the underlying creative work.

11. Limitation of Liability

ArtHeart provides its services “as is” and “as available” without warranties of any kind.

To the fullest extent permitted by law, ArtHeart disclaims all express or implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

ArtHeart shall not be liable for:

• Any indirect, incidental, or consequential damages;
• Loss of profits, data, or goodwill;
• Misunderstanding of ownership or rights to streamed content.

Users acknowledge that access to ArtHeart does not confer ownership rights to any content.

12. Termination

ArtHeart may suspend or terminate accounts that violate these Terms or engage in fraudulent, harmful, or abusive conduct.

Users may delete their accounts at any time. Some information may be retained as required by law.

13. Modifications to Terms

ArtHeart reserves the right to modify these Terms at any time.

Updated Terms will be published on the platform and take effect immediately.

Continued use constitutes acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Wyoming, United States.

All disputes shall be resolved under the exclusive jurisdiction of Wyoming courts.
